are owned by Softbitrix and protected by intellectual property laws.
3.2 Client Intellectual Property
For custom development projects:
- Clients retain ownership of their business-specific content and data
- Custom software developed for clients becomes client property upon full payment
- Softbitrix retains rights to general methodologies and reusable components
- Third-party components remain subject to their respective licenses
3.3 License Restrictions
You may not copy, modify, distribute, sell, or lease any part of our Services without explicit written permission.
4. Payment Terms
4.1 Project Fees
- All project fees are outlined in individual service agreements
- Payments are due according to agreed-upon milestones or schedules
- A deposit may be required before project commencement
- Additional work outside the original scope will be billed separately
4.2 Payment Methods
We accept various payment methods including:
- Bank transfers and wire transfers
- Credit and debit cards
- PayPal and other electronic payment systems
- Cryptocurrency (for qualified projects)
4.3 Late Payments
Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for overdue accounts.
4.4 Refunds
Refunds are handled on a case-by-case basis according to individual service agreements. Generally, completed work phases are non-refundable.
5. Disclaimers and Limitations of Liability

5.2 Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the amount paid for the specific service
- We are not liable for indirect, incidental, or consequential damages
- We are not responsible for business interruption or lost profits
- Clients are responsible for data backups and security
5.3 Third-Party Services
We are not responsible for third-party services, plugins, or platforms integrated with our solutions. Clients assume responsibility for third-party terms and performance.
6. Termination Clauses
6.1 Termination by Either Party
- Either party may terminate ongoing projects with 30 days written notice
- Completed work phases must be paid for regardless of termination
- Work-in-progress will be billed on a pro-rated basis
- All deliverable materials completed to date will be provided upon payment
6.2 Immediate Termination
We may immediately terminate services if:
- Terms of service are violated
- Payments are significantly overdue
- Illegal activities are detected
- Abusive behavior toward our team members
6.3 Post-Termination
Upon termination, access to our systems and ongoing support will cease. Clients are responsible for backing up their data and materials.
7. Governing Law and Dispute Resolution
7.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.
7.2 Jurisdiction
Any legal disputes shall be resolved in the state and federal courts located in San Francisco County, California.
7.3 Dispute Resolution Process
- Direct Negotiation: Parties will first attempt to resolve disputes through good faith negotiations
- Mediation: If negotiation fails, disputes will proceed to mediation
- Arbitration: Unresolved disputes may be subject to binding arbitration
- Litigation: As a last resort, disputes may proceed to court
7.4 Class Action Waiver
You agree to resolve disputes individually and waive the right to participate in class action lawsuits.
8. Additional Terms
8.1 Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on our website, and continued use constitutes acceptance of modified terms.
8.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

These Terms, together with individual service agreements, constitute the entire agreement between parties and supersede all prior communications.
